This Volunteer Release and Waiver of Liability (this “Waiver”) is entered into by and between ThoughtSpot, Inc., a Delaware corporation (“ThoughtSpot” or the “Company”), and the individual accepting this Waiver (“Participant” or “Volunteer”) in connection with the Company's inaugural R.I.S.E Global Impact Week volunteer program scheduled to take place June 8–12, 2026 (the “Program”). In consideration of being permitted to participate in the Program, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Participant agrees as follows:
Participant acknowledges and agrees that participation in the Program and any related volunteer activities is entirely voluntary. Participant is under no obligation, whether express or implied, to participate in the Program as a condition of employment, continued employment, or any other benefit from ThoughtSpot. Participant freely and voluntarily chooses to participate in the Program and understands that Participant may decline to participate or withdraw from participation at any time without penalty, adverse employment action, or any negative consequence whatsoever. Participant's decision to participate or not participate in the Program shall have no bearing on Participant's employment status, performance evaluations, compensation, or any other term or condition of employment with ThoughtSpot.
Participant understands and acknowledges that participation in volunteer activities involves inherent risks, dangers, and hazards, which may include, but are not limited to:
Participant hereby expressly assumes all risks, known and unknown, foreseeable and unforeseeable, arising out of or related to Participant's participation in the Program, including but not limited to the risks enumerated above. Participant acknowledges that this assumption of risk is made knowingly, voluntarily, and with full understanding of the potential consequences.
To the fullest extent permitted by applicable law, Participant hereby releases, waives, discharges, and covenants not to sue ThoughtSpot, Inc., its parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, employees, agents, representatives, volunteers, sponsors, and any third-party organizations or individuals associated with the Program (collectively, the “Released Parties”) from any and all claims, demands, actions, causes of action, suits, damages, losses, liabilities, costs, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, which Participant now has or may hereafter have against the Released Parties arising out of or in any way related to Participant's participation in the Program (collectively, “Claims”).
This release and waiver includes, without limitation, Claims for personal injury, bodily injury, illness, death, property damage, emotional distress, or any other loss or damage of any kind, whether caused by the negligence of the Released Parties or otherwise. Participant further agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all Claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Participant's participation in the Program, Participant's breach of this Waiver, or Participant's negligent or wrongful acts or omissions.
Participant acknowledges that certain volunteer activities during the Program may be self-sourced, meaning that Participant may independently identify, select, or arrange volunteer opportunities outside of those officially organized or coordinated by ThoughtSpot (“Self-Sourced Activities”). Participant understands and agrees that:
Participant agrees to exercise reasonable judgment and due diligence in selecting and participating in any Self-Sourced Activities and acknowledges that ThoughtSpot shall have no liability whatsoever for any Claims arising from such activities.
Participant hereby grants to ThoughtSpot and its designees the irrevocable, perpetual, worldwide, royalty-free right and license to photograph, film, record, and otherwise capture Participant's image, likeness, voice, statements, and participation in the Program (collectively, “Media”) and to use, reproduce, modify, distribute, display, publish, and create derivative works from such Media in any and all media formats, whether now known or hereafter developed, for any lawful purpose, including but not limited to:
Participant waives any right to inspect or approve the finished Media or any materials incorporating the Media and releases the Released Parties from any Claims arising from the use of such Media, including but not limited to claims for invasion of privacy, defamation, or right of publicity.
Participant agrees to comply with all rules, regulations, policies, and instructions provided by ThoughtSpot, its representatives, and any third-party organizations or site supervisors in connection with the Program. Participant agrees to:
Participant acknowledges that failure to comply with the foregoing may result in immediate removal from the Program and may subject Participant to disciplinary action in accordance with ThoughtSpot's employment policies.
This Waiver shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to this Waiver or Participant's participation in the Program shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, and Participant hereby consents to the personal jurisdiction of such courts and waives any objection to venue therein.
If any provision of this Waiver is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of this Waiver, and this Waiver shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. The remaining provisions of this Waiver shall continue in full force and effect and shall be enforceable to the fullest extent permitted by law. If any provision is deemed unenforceable but could be made enforceable by limitation, such provision shall be deemed modified to the minimum extent necessary to make it enforceable.
By checking the acceptance box during registration, Participant acknowledges and agrees that:
Participant consents to the electronic delivery of this Waiver and agrees that no physical or handwritten signature is required. Participant's act of checking the acceptance box shall constitute Participant's electronic signature and shall have the same force and effect as a handwritten signature. The electronic record of Participant's acceptance, including the date and time of acceptance, shall serve as conclusive evidence of Participant's agreement to the terms of this Waiver.
The following additional terms apply to ThoughtSpot employees based in the United Kingdom or India. By checking the acceptance box, Participants in these jurisdictions also acknowledge and agree to the terms set forth in this Section 10, which shall supplement (and, to the extent of any conflict, supersede) the other provisions of this Waiver.
